Contract Specialist/Paralegal
Job Summary:
Under the direction of Gallo Mechanical's Executive Team, the Contract Specialist / Paralegal is responsible for preparing, reviewing, negotiating, and finalizing standard contracts while overseeing all aspects of contract administration and compliance.
This role requires a deep understanding of construction-related contracts, including master service agreements, subcontracts, purchase orders, and change orders-and the ability to identify and mitigate potential risk. The ideal candidate will be highly organized, detail-oriented, and familiar with construction law, particularly in the mechanical/HVAC industry.
Independent and resourceful, the Contract Specialist / Paralegal should be a self-starter who thrives both independently and as part of a collaborative team. They will take ownership of the contract lifecycle and drive efficiency, accuracy, and accountability across departments.
Responsibilities:
* Draft, manage, review, and respond to RFPs or customer terms and conditions as needed.
* Drive the contract lifecycle from drafting through negotiation, approval, and execution.
* Maintain a deep understanding of Gallo Mechanical's contract templates, policies, and legal positions on risk and liability.
* Manage the contract change control process and ensure all revisions follow proper approval channels.
* Prepare contracts for internal review and approval, ensuring compliance with company policies and applicable laws.
* Interpret contract terms and advise stakeholders on rights and obligations.
* Collaborate with internal teams to improve standardized forms, templates, and procedures.
* Maintain organized records of all active and completed contracts, including correspondence and key documentation.
* Track and report key contract data such as expiration dates, renewal deadlines, and required actions.
* Provide regular reporting and updates on contract activity to senior management.
Ideal Experience & Qualifications:
* Minimum 3 years of relevant experience; construction industry experience preferred.
* Bachelor's degree required; Paralegal certification or equivalent experience strongly preferred.
* Solid understanding of contract structures, commercial terms, and risk management.
* Highly organized with strong attention to detail and ability to manage multiple contracts simultaneously.
* Able to work independently while maintaining strong collaboration with Gallo's Executive Team and other departments.
* Proactive, dynamic, and results-driven with excellent written and verbal communication skills.
* Proficient in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
