About the Role
Legal Counsel will advise the business on legal and commercial matters relating to new and existing partnerships and agreements. The position is responsible for negotiating, drafting, and reviewing new and existing commercial agreements and assisting in advancing the Company's commercial initiatives in compliance with all laws and regulations. Working under the direction and supervision of the Associate General Counsel, the legal counsel will independently manage a portfolio of commercial contracts and legal operations, maintain accountability, and serve as a liaison between the business and the legal department. This role may be based in Jersey City, New Jersey, or can be performed remotely.
Responsibilities
- Review, draft and negotiate commercial contracts (examples include payment processing agreements, vendor agreements (MSAs/SOWs for marketing, technology, data, and intellectual property contracts), use license agreements, market access agreements, partnership agreements, sponsorship agreements, affiliate agreements, and promotions such as sweepstakes and contests). Provide strategic and proactive legal advice to business clients.
- Draft and synthesize key clauses and create bespoke agreements for unique business transactions.
- Leverage AI‑enabled tools to efficiently review and draft commercial agreements and support timely, data‑informed legal guidance to business partners.
- Adopt a collaborative approach with business partners to lead negotiations with partners, suppliers, and affiliates across different business functions.
- Manage multiple assignments simultaneously and prioritize tasks effectively.
- Maintain an organized executed contract repository using the company's contract management system.
- Assess risks and use sound business and legal judgment to respond to questions, make decisions, and negotiate deals to meet deadlines in a fast‑paced environment.
- Consistently provide well‑reasoned legal advice and creative solutions to complex problems.
- Exercise confidence in risk‑managed decision making and ethical judgment.
- Proactively identify and advise on legal issues arising from potential and existing commercial relationships.
- Collaborate with business partners on a wide array of contractual and commercial matters, including product, technology, sports betting, gaming operations, marketing, finance, and human resources.
- Assist in team projects and initiatives such as improving commercial legal processes, creating or updating policies, revising contract templates, and driving adoption of the company's contract management tool.
- Demonstrate a strong work ethic and take ownership of complex projects with minimal supervision while exhibiting sound judgment, multi‑tasking, and problem‑solving skills.
- Show leadership and teamwork skills supportive of a collaborative environment.

Qualifications
- Juris Doctor degree required.
- Minimum of three years of being a licensed attorney with progressive responsibility in reviewing and negotiating contracts.
- Experience practicing law in a top‑tier law firm and/or equivalent in‑house experience.
- Experience in a regulated industry or in negotiating technology services, software, SaaS transactions preferred.
- Gaming license registration as required by applicable jurisdictions.
- Substantive knowledge of legal strategies and principles related to contract drafting and negotiation; ability to analyze and apply legal principles and precedents, perform legal research, evaluate alternatives, and make sound recommendations.
- Basic proficiency in MS Word, Excel, PowerPoint, and Outlook.
- Experience with a contract management tool preferred.
The annual salary range for this position is $135,000 to $170,000. Factors which may affect starting pay within this range include geography/market, skills, education, experience, and other qualifications of the successful candidate. This position is eligible for participation in a performance‑based bonus plan.

Gaming Compliance & Licensing Requirements
As an online gaming company, BetMGM is required to comply with state gaming regulations, which includes licensing obligations. Applicable employees must be licensed by at least one jurisdictional agency; certain positions require licensing by multiple agencies. Failure to obtain or maintain licensure with each required agency may result in termination. The licensing process includes comprehensive background checks, including review of criminal records, financial history, and personal background verification.
